1. Eligibility & Account Registration

You must be capable of forming a binding contract under applicable law to use the Services. If you create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

Your continued use of the Services after the changes become effective constitutes acceptance of the revised Terms.

3. Access to the Services

5. Location Data & Attendance

As part of certain features, we may collect and process your location information to update attendance data and to support remuneration workflows. By enabling location-based features, you consent to this processing as described in our Privacy & Cookies section. You can disable location permissions at any time via your device or browser settings; however, some features may not function properly without them.

6. Your Content & Feedback

You retain ownership of content you submit to the Services (“User Content“). You grant AugERP a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display User Content solely to operate and improve the Services. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms.

If you provide ideas, suggestions, or feedback (“Feedback“), you acknowledge that we may use them without restriction or compensation to you.

7. Intellectual Property

The Services, including text, graphics, logos, icons, images, software, and other materials, are owned by or licensed to AugERP and are protected by applicable intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Services or included software.

8. Fees, Orders & Refunds

Access to certain modules or features may require payment of fees. Prices, billing cycles, and applicable taxes will be disclosed at the time of purchase or in a separate order form. Unless stated otherwise, all fees are non‑refundable to the fullest extent permitted by law. We may suspend or terminate access for unpaid or overdue amounts.

9. Third‑Party Services, Links & Advertising

The Services may include links to third‑party websites, services, or advertising partners. We do not control and are not responsible for the content, policies, or practices of third parties. Third‑party providers may use cookies, pixels, or similar technologies to measure advertising effectiveness or personalize content; details are described in our Privacy Policy.

10. Privacy & Cookies

Your use of the Services is also governed by our Privacy Policy, which explains what personal data we collect (including log files, cookies, and—where enabled—location data), how we use it, and your rights under applicable laws (including GDPR and CCPA where applicable). Please read it carefully.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUGERP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AUGERP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO AUGERP FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless AugERP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms.

14. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the integrity of the Services. Upon termination, provisions that by their nature should survive will remain in effect (including ownership, disclaimers, limitations of liability, and indemnity).

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of laws principles. You agree that the courts located in Rajkot, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

16. Children’s Use

The Services are not directed to children under 13. If you are under 18, you may use the Services only with the involvement of a parent or legal guardian.

17. Miscellaneous

• Entire Agreement. These Terms constitute the entire agreement between you and AugERP regarding the Services and supersede any prior agreements on the subject matter.
• Severability. If any provision is held invalid, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
• Notices. We may provide notices to you by posting to the Services or by email to the address associated with your account.
